Corporate Secretary

Corporate Secretary ensures Severstal's compliance with the requirements of the applicable law, Company’s Charter and internal documents regulating the needs and interests of the shareholders.

On 15 December 2006, the Board of Directors appointed Oleg Tsvetkov as Corporate Secretary.

Oleg Tsvetkov (year of birth: 1973) since 2000 held various positions in Legal Affairs Department of OAO Severstal. In 2004 he was appointed Senior Manager of Legal Department, responsible for relations with foreign subsidiaries of Severstal, international commercial projects, joint ventures projects and project financing. In December 2006 Oleg was appointed the Corporate Secretary of Severstal.

Mr. Tsvetkov graduated from the Moscow State Law Academy in 2000. He holds a PhD degree in linguistics (2002) and an MBA degree from the Newcastle Business School of Northumbria University (United Kingdom, 2008).

The scope of activities of the Company Secretary Office includes:

• Securing Board of Directors activities;
• Preparation and holding of General Shareholders Meetings;
• Corporate governance advising;
• Disclosure of information as required by the Russian laws (including analysis, delivery and storage of information);
• Control over disclosure of information by affiliated companies, which have an obligation to disclose information publicly;
• Monitoring ownership structure, dividend payments, securities, shareholder communications, dispute settlements and corporate relations risks;
• Securing shareholders and GDR holders communications, as well as Russian and foreign stock market regulators relations.
